Contract Packaging Agreement

This agreement is between Hillside Orchard Farms and _________________________________________ (Wholesaler). The purpose of this agreement is to assure that any information pertaining to this Contract Packaging Agreement (hereinafter referred to as "Agreement"), between Wholesaler and Hillside Orchard Farms is strictly confidential.

If you have a recipe, we can make it for you...

1. Batch Size: 105 cases, 12 pieces per case, or determined by Hillside Orchard Farms after the initial run.

2. Labeling & Nutritional Analysis: If Hillside Orchard Farms manufactures your product, you will receive help with your label and nutritional information at no charge. If Hillside Orchard Farms does not manufacture your product, label creation and nutritional analysis is available to you at a charge of $500.00 per product. All ingredients must be displayed on labeled product.

3. R&D Initial Run: Our facility is open for Research and Development of your product during the initial run. Plant charge is $350.00 for the first run, any additional runs of the same product with modifications will incur a charge of $150.00 per run.

4. Production Cost: Price is determined depending on the type of product and ingredient used. The Price will include containers and all ingredients. The labeling cost is not included, label cost depends on type of label chosen. Art charge by the Label Company is $50.00 per hour.

5. Payment: Payment is due upon completion of manufacturing. Hillside Orchard Farms will not inventory or market any of your products. All products must be picked up or shipped to your location. Any product not retrieved within 2 weeks will be disposed of as Hillside Orchard Farms sees fit.

6. Order Placement: All orders must be placed by batch size after the initial run and batch size is determined. Batch size CANNOT be split due to the ingredient consistencies that must be kept.

7. APPROVAL: Samples of your product and label must and will be submitted to the Georgia Department of Agriculture for approval. Your product cannot be used for samples or for sale until the Department of Agriculture has issued the approval. You will also receive a sample for approval, additional batch runs will not be made until your approval has been received in writing.
